Terms and Conditions of Use - Codelegend Forum

Information

By using the Codelegend Forum (the "Forum") you indicate that you accept these terms and conditions and that you agree to abide by them. If you do not agree to these terms and conditions, please refrain from using the Forum.

"Content" means any material you, or others, submit to the Forum including (but not limited to) comments, links, images, video, sounds and files.

"Our", "we" or "us" means Aidata Limited, a company registered in England and Wales having its registered office at 1&2 The Barn, Oldwick, West Stoke Road, Lavant, Chichester, West Sussex, PO18 9AA, England.

Accessing the Forum

Access to the Forum is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on the Forum without notice. We will not be liable if for any reason the Forum is unavailable at any time or for any period.

Use of the Forum is at our discretion and any use may be terminated by us at any time.

Content Rules

The Forum is provided for your use. The views and opinions on the Forum express the views of the author and do not reflect those of Aidata Limited. Aidata Limited will not be held responsible for any Content or activities in the Forum.

You must not submit any Content that does not comply with these terms and conditions. Specifically, you must not use the Forum to display any Content that:

  • is in contravention of any relevant local, national or international law or which incites or encourages the contravention of any such law;
  • contains links to external sites that violate these terms and conditions;
  • is ethnically, racially, sexually or otherwise objectionable;
  • is pornographic, obscene, profane, vulgar, or contains swearing (including words which use * or any other symbol instead of a letter);
  • is defamatory of any person, entity or organisation;
  • is abusive, threatening or otherwise likely to be harmful to those persons likely to use the Forum;
  • infringes the rights (including, but not limited to, the intellectual property rights) of any person;
  • is subject to licence terms;
  • could harm other users' computers or contains destructive features such as viruses, worms, Trojan horses or bots or anything that may be disruptive to online communication or may damage the Forum;
  • is deliberately misleading;
  • impersonates, or attempts to impersonate another person, whether or not that person is a user of the Forum or modifies other users' Content;
  • infringes the privacy of an individual or company, including (but not limited to) posting location and/or contact details of another person, images or personal information;
  • reveals personal information about yourself;
  • includes advertising or is soliciting business or funds; and
  • is otherwise offensive in the opinion of Aidata Limited.
  • All Content submitted to the Forum must be in English only.

    We may review the Content you submit to the Forum for suitability and compliance with our terms and conditions and other criteria. We may reject or accept your Content for any reason in our absolute discretion. Further, we may at any time and without notice or further liability to you remove and destroy your Content or permanently terminate your access to the Forum.

    We may close a thread without prior notice.

    You must not use the Forum in any way that is unlawful, illegal, fraudulent or harmful, or in connection with any unlawful, illegal, fraudulent or harmful purpose or activity.

    You must not edit or otherwise modify any Content or material on the Forum if you are not the author of that Content or material. You must restrict any contributions to the Forum to the area designated for user Content.

    If we provide you with a user ID and password to enable you to access the Forum, you must ensure that that user ID and password are kept confidential.

    Personal Messaging

    Personal messaging is provided to members of the Forum to allow for personal conversations to take place between members. Solicitation, spamming or harassment of any kind is strictly forbidden. Although personal messages are private, they may be accessible to Aidata Limited and we may be required to reveal the contents of personal messages to the relevant authorities in the event of a complaint or legal action.

    Viruses, Hacking and Other Offences

    You must not misuse the Forum by knowingly introducing viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful. You must not attempt to gain unauthorised access (hacking) to our site, the server on which our site is stored or any server, computer or database connected to our site. You must not attack our site via a denial-of-service attack or a distributed denial-of service attack. You must not use the Forum in any way that causes, or may cause, damage to the Forum or impairment of the availability or accessibility of the Forum.

    By breaching this provision, you would commit a criminal offence under computer misuse legislation. We will report any such breach to the relevant law enforcement authorities and we will co-operate with those authorities by disclosing your identity to them and we may bring court proceedings against you. In the event of such a breach, your right to use the Forum will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

    We do not commit to ensuring that the Forum remains available or that the server that makes it available is free from infection, viruses or destructive code.

    We will not be liable (whether in contract, tort (including negligence) or any other basis) for any loss, damage or liability caused by a distributed denial-of-service attack, hacking, viruses or other technologically harmful material that may infect your computer equipment, computer programs, data or other proprietary material due to your use of the Forum or any website linked to it or to your downloading of any material posted on the Forum or any website linked to it even if we knew or should have known about or had been previously advised of the possibility of the damages.

    Linking

    You may link to our site, provided you do so in a way that is fair and legal and does not damage our reputation or take advantage of it, but you must not establish a link in such a way as to suggest any form of association, approval or endorsement on our part where none exists. If we decide, for any reason, that we no longer want you to link to our site, you must remove the link to our site immediately upon our request.

    Where the Forum contains links to other sites and resources provided by third parties, these links are provided for your information only. We have no control over the contents of those sites or resources, and accept no responsibility for them. We will not be liable (whether in contract, tort (including negligence) or any other basis) for any loss, damage, liability or offence that may arise from your use of them even if we knew or should have known about or had been previously advised of the possibility of the damages.

    Ownership and Licence of Content

    Any material you upload to the Forum will be considered non-confidential and non-proprietary.

    We do not claim ownership of any Content you submit or make available via the Forum. However, by submitting to or making available any Content on the Forum you agree to grant to us a perpetual, worldwide, irrevocable, non-exclusive, royalty-free licence to use, copy, reproduce, adapt, publish, translate, distribute and make available to the public (on the Forum or elsewhere), your Content in any existing or future media for any purpose without prior notice. You also grant to us the right to sub-license these rights.

    No compensation will be paid for any of your contributions.

    You may not violate, plagiarise or infringe on the rights of third parties including, without limitation, copyright, trademark, trade secret, privacy, personal, publicity or proprietary rights.

    We may be required to disclose your identity to any third party who is claiming that any material posted or uploaded by you to the Forum constitutes a violation of their intellectual property rights or of their right to privacy or is defamatory.

    You may access the Forum only for your own personal use. You acknowledge that you may not publish or distribute material from the Forum without prior written permission from Aidata Limited. You must not reproduce, duplicate, copy or otherwise exploit material on the Forum for a commercial purpose.

    You must not modify any paper or digital copies of any materials you have printed off or downloaded in any way.

    Aidata Limited retains and reserves its copyright, title, interest, moral rights and all other intellectual property rights in any material on the Forum or accessed through the Forum that is the property of Aidata Limited.

    All other trademarks are either trademarks or registered trademarks of their respective owners.

    Disclaimer

    All Content made available as part of the Forum, and any opinions, advice, statements, views or other information expressed in the Forum are solely provided by, and the responsibility of, the person posting such Content and not of Aidata Limited. Aidata Limited is not responsible (whether in contract, tort (including negligence) or any other basis) for the accuracy of Content posted on the Forum, or for any loss, damage, liability or offence arising out of or in connection with the use of this Forum or any website linked to it or the information, content, materials or products included on this Forum or any website linked to it, or the loss of access to, or deletion or alteration of any materials included in the Forum even if we knew or should have known about, or had been previously advised of the possibility of the damages. This is a comprehensive limitation of liability that applies to all damages of any kind, including (without limitation) compensatory, direct, indirect, punitive, special, incidental or consequential damages, loss of business, data, anticipated savings, contracts, goodwill, reputation, information, income, profit, use, revenue or other economic advantage and claims of third parties however it arises

We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our site, or by anyone who may be informed of any of its contents.

    Indemnity

    You agree to indemnify, defend and hold Aidata Limited harmless from any liability, loss, claim and expense (including reasonable legal fees) in relation to any Content you upload, post or email on or through the Forum, your use of the Forum or your breach of these terms and conditions.

    Breaches of These Terms and Conditions of Use

    If your use of the Forum breaches any of these terms and conditions, your right to use the Forum will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

    Without prejudice to our other rights under these terms and conditions, if you breach these terms and conditions in any way, we may take such action as we deem appropriate to deal with the breach, including, without limitation, suspending your access to the Forum, prohibiting you from accessing the Forum, blocking computers using your IP address from accessing the Forum, reporting such breach to the relevant authorities and/or bringing court proceedings against you. We reserve the right to report to the relevant authorities any Content or activities that we believe to be illegal. We may be required to reveal your identity (or whatever information we know about you) in the event of a complaint or legal action arising from any Content posted by you or otherwise from your use of the Forum.

    If Aidata fails, at any time during the term of this agreement, to insist on strict performance of any of your obligations under this agreement, or if Aidata fails to exercise any of the rights or remedies to which it is entitled under this agreement, this shall not constitute a waiver of such rights or remedies and shall not relieve you from compliance with such obligations. A waiver by Aidata of any default shall not constitute a waiver of any subsequent default. No waiver by Aidata of any of these terms and conditions shall be effective unless it is expressly stated to be a waiver and is communicated to you in writing.

    Assignment

    We may assign, transfer, sub-contract or otherwise deal with our rights and/or obligations under this agreement without notifying you or obtaining your consent.

    You may not assign, transfer, sub-contract or otherwise deal with your rights and/or obligations under this agreement.

    Variations

    We reserve the right to modify these terms and conditions at any time. You should therefore check for changes periodically.

    General

    If any of the terms of this agreement are determined by a court having jurisdiction to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by applicable law.

    The laws of England shall govern these terms and conditions and your use of the Forum and you hereby agree to submit to the exclusive jurisdiction of the English courts, although we retain the right to bring proceedings against you for breach of these terms and conditions in your country of residence or any other relevant country.
